Board and general meetings with quorum, proxies and secret ballots

Convene the meeting, record attendance and proxies, freeze the quorum when it opens, run motions with open or secret ballots, and leave the minutes and the numbered resolutions on record.

From convocation to minutes

Create the meeting with its agenda and documents, send the notice to the members entitled to attend, and collect proxies before the day. On the day, attendance is recorded by name or by QR, and the quorum is computed against the register as it stands when the chair opens the meeting.

  • Notice periods and quorum rules per meeting type, following your statute.
  • Proxies with limits per holder and a record of who gave them.
  • Meeting documents attached and distributed with the notice.

Ballots that can be audited but not traced

Motions are voted in the console: open ballots show who voted what; secret ballots record that a member voted and the tally, never the pairing. The count, the majority rule and the result are stored with the motion.

Resolutions with a number

Each adopted motion becomes a numbered resolution in the register of resolutions, searchable by year and subject, with the minutes attached. The next board finds what the last one decided.

About meetings & voting.

01Can members vote remotely?

Votes are cast in the console by the chair or secretary from the ballots collected in the room, and members present can vote from their phone when the chair opens the motion to remote voting. Fully remote meetings follow the rules in your statute.

02How is the quorum calculated?

From the members entitled to vote in the register at the moment the chair opens the meeting, plus valid proxies. The figure is frozen so late renewals or resignations during the meeting cannot change it.

03Is governance included in the free plan?

Governance tools are part of the Pro and Enterprise plans.
